To change the quantity of Board members from 3 (three) to 4 (four) members.<br><br>3.2.1. Amend Article 22 of Company\u2019s bylaws and approve new edition of this Article: <br>\u201cThe Board shall be a collegial management body. The Board shall comprise 4 (four) <br>members serving a 4-year term. The Board shall elect the Board Chairperson from its <br>members.\u201d<br>3.2.2. To make amendments to bylaws of the Company and to approve new edition.<br>3.2.3. To authorize the Company president to sign the bylaws of the Company and<br>other documents with amendments made and to register amended bylaws with the <br>official authorities.<br><br>3.3. To recall the Board members of the Company. The Board shall finish its activity from <br>the day of registration of the amended bylaws.<br><br>3.4. Elect Alvydas Banys, Vytaytas Bu\u010das, Dailius Juozapas Mi\u0161eikis and Darius \u0160ulnis <br>to the Board members. New Board shall start its activity from the day of registration of <br>the amended bylaws.<br><br>3.5.1. According to article 63 part 1 of Law on Companies of the Republic of Lithuania, <br>to approve reorganization of AB Invalda and UAB Pozityvios investicijos by way of merger, <br>whereby UAB Pozityvios investicijos transfers all its assets and liabilities to AB Invalda. <br>3.5.2.
