The amended Articles of Association state a new name of the company \u2013 public joint &#8211; stock company Invalda LT as well as a reduced authorized capital. Moreover, a new legal entity \u2013 public joint \u2013 stock company \u201eInvalda privatus kapitalas\u201c has been registered on the basis of a split \u2013 off part of equity, assets and liabilities of the public joint \u2013 stock company INVALDA.<\/p>\n<p>In accordance with the split \u2013 off terms, a part of shareholders\u2019 shares in the public joint \u2013 stock company INVALDA will be exchanged for the ordinary registered shares in the newly established public joint \u2013 stock company Invalda privatus kapitalas on May 31, 2013. The necessary records in securities accounts will be made accordingly. <\/p>\n<p>Furthermore, 45,447849 percent of equity, assets and liabilities of the public joint &#8211; stock company INVALDA as of the day of registration of the public joint \u2013 stock company \u201eInvalda privatus kapitalas\u201c will be transferred to the latter company on the basis of mutual transfer \u2013 acceptance certificates. <\/p>\n<p>After registration of the amended Articles of Association of the public joint \u2013 stock company INVALDA, continuing activity under the new name Invalda LT AB on May 31, 2013, the authorized capital of the company is LTL 24.833.551, it is divided into 24.833.551 ordinary registered shares with nominal value &#8211; 1 (one) litas per share.
